Parties: NyneCom LLC, a Virginia limited liability company ("Company"), and You ("Creator" or "Affiliate").
BY CLICKING THE ACCEPTANCE CHECKBOX, YOU ACKNOWLEDGE YOU HAVE HAD A FULL OPPORTUNITY TO READ THIS AGREEMENT, UNDERSTAND ITS TERMS, AND AGREE TO BE LEGALLY BOUND. YOUR FAILURE TO READ THIS AGREEMENT DOES NOT LIMIT YOUR OBLIGATIONS. CLICKING CONSTITUTES YOUR ELECTRONIC SIGNATURE.
1. Nature of the Relationship
1.1 Independent Contractor. You are an independent contractor. Nothing herein creates an employment, partnership, joint venture, agency, franchise, or fiduciary relationship with NyneCom LLC or its principal, Reginald Pinkston. You have no authority to bind NyneCom LLC.
1.2 No Exclusivity. NyneCom LLC may enter into similar agreements with any number of other parties at any time without notice or obligation to You.
1.3 No Vested Rights. Participation confers no vested, accrued, property, equitable, or legal right to continued participation, access, future commissions, or any benefit beyond commissions earned on validated transactions closed prior to termination. No course of dealing, length of participation, or sales volume creates any right to continued participation.
2. Program Participation
2.1 Submission of an application does not guarantee acceptance. NyneCom LLC has sole and absolute right to approve or deny any application for any reason, without explanation or liability.
2.2 Acceptance is conditional and revocable at all times. NyneCom LLC reserves the right to modify, suspend, or discontinue the Program at any time without notice or liability.
3. Commissions
3.1 Commission rates may be changed at any time upon notice. Continued participation constitutes acceptance of modified terms.
3.2 Commissions are earned only upon validated, completed, non-reversed transactions. NyneCom LLC's determination of qualification is final and binding.
3.3 Forfeiture Upon Termination for Cause. All unpaid and pending commissions are immediately forfeited upon termination for cause.
3.4 NyneCom LLC makes no representation regarding potential income. No guaranteed earnings.
4. At-Will Termination — Absolute Right
4.1 NyneCom LLC's Absolute Right. NyneCom LLC and its principal Reginald Pinkston reserve the absolute, unconditional, and irrevocable right to terminate Your participation at any time, for any reason or no reason, with or without notice, with or without cause, and with or without explanation. This right is not subject to review, challenge, or appeal in any forum.
4.2 Grounds for Immediate Termination Include: (a) misrepresentation of affiliation; (b) disparagement of NyneCom LLC or Reginald Pinkston; (c) spam or deceptive advertising; (d) conduct harmful to NyneCom LLC's reputation; (e) failure to disclose affiliate relationship per FTC guidelines; (f) violation of any applicable law; (g) manipulation of tracking or referral attribution.
4.3 Upon any termination: Your Affiliate Link is deactivated; portal access is revoked; You must cease all promotion immediately; commissions on pre-termination validated transactions are payable only on termination without cause.
5. Promotional Conduct and FTC Compliance
5.1 You are solely responsible for FTC-compliant disclosure of Your affiliate relationship in all content (16 C.F.R. Part 255). Failure is a material breach.
5.2 Prohibited: false claims, brand keyword bidding without approval, cookie stuffing, impersonation of NyneCom LLC, income guarantees.
6. Intellectual Property
6.1 You receive a limited, revocable, non-exclusive license to use NyneCom LLC's marks solely for Program promotion. This license terminates immediately upon termination. You acquire no ownership interest. All goodwill inures to NyneCom LLC.
7. Indemnification
7.1 You shall indemnify, defend, and hold harmless NyneCom LLC, Reginald Pinkston, its members, managers, officers, employees, agents, successors, and assigns from all claims, actions, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees, court costs, and expert witness fees — arising from Your participation in the Program, Your promotional activities or content, Your breach of this Agreement, Your violation of any law or third-party right, any third-party claim arising from Your actions, or any dispute between You and a referred customer. This obligation survives termination indefinitely.
8. Attorney's Fees — Fee Shifting
8.1 Prevailing Party. In any legal action to enforce this Agreement or defend against claims You bring, the non-prevailing party shall pay all costs and expenses of the prevailing party including reasonable attorneys' fees at actual billing rates, court costs, filing fees, expert witness fees, investigation costs, discovery costs, appellate costs, and judgment enforcement costs.
8.2 Affirmative Recovery. If You initiate legal action against NyneCom LLC or Reginald Pinkston and do not prevail on the central claims advanced, You shall be liable for all legal costs and attorneys' fees incurred by NyneCom LLC and Reginald Pinkston, including all appeals. You understand this is a material term and condition of participation.
8.3 No Frivolous Claims. If any court or arbitrator finds a claim You brought was frivolous, You bear full responsibility for all fees, costs, and expenses arising from that proceeding.
9. Limitation of Liability
9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYNECOM LLC AND REGINALD PINKSTON SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND. TOTAL LIABILITY SHALL NOT EXCEED COMMISSIONS ACTUALLY PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
10. Dispute Resolution
10.1 Governing Law: Commonwealth of Virginia. Mandatory Arbitration: All disputes resolved by binding arbitration under AAA Commercial Arbitration Rules, Virginia Beach, Virginia. Decision is final. YOU WAIVE YOUR RIGHT TO A JURY TRIAL. Class Action Waiver: All claims must be brought individually. No class actions or representative proceedings.
11. Miscellaneous
11.1 NyneCom LLC may modify this Agreement at any time. Continued participation constitutes acceptance. This is the entire agreement between the parties. If any provision is unenforceable, remaining provisions stay in effect. You may not assign this Agreement. NyneCom LLC may assign freely. Notices sent to Your application email are deemed received.
12. Sales Compensation
12.1 Sales Role. The Contractor may sell NyneCom LLC products, services, and approved offers. The main offer is the NyneCom AI Automation White-Glove Service at $749/month. The Contractor is responsible for prospecting, calling, presenting, following up, and closing approved prospects.
13. Main Sales Compensation
13.1 The Contractor may earn compensation based on closed and approved sales. Compensation for the main NyneCom AI Automation White-Glove Service is: $200 commission per closed and approved sale, and $4,000 monthly base pay when the Contractor maintains at least 10 closed and approved sales in a calendar month.
13.2 The $4,000 monthly base pay is performance-based and only applies when the Contractor maintains the required monthly quota of 10 closed and approved sales. It is not guaranteed if the Contractor does not meet or maintain the monthly quota.
13.3 Example Monthly Earnings. If the Contractor closes 10 approved sales in one calendar month: $4,000 monthly base pay at quota + $2,000 commission from 10 sales at $200 per sale = $6,000 total monthly compensation. This is only an example. Actual earnings depend on closed and approved sales.
14. Monthly Sales Quota
14.1 The Contractor's monthly quota is 10 closed and approved sales per calendar month. A sale only counts toward quota after: (a) the client has completed payment; (b) the client has been accepted by NyneCom LLC; (c) the sale has not been refunded, charged back, canceled, or rejected; and (d) the sale is connected to an approved NyneCom offer or approved creator/client offer.
15. Commission Eligibility
15.1 The Contractor is eligible for commission only on sales that are closed by the Contractor, approved by NyneCom LLC, paid by the client, not refunded or reversed, and properly tracked through NyneCom LLC's approved sales process. NyneCom LLC may withhold or reverse commissions for refunded payments, chargebacks, fraud, duplicate sales, canceled accounts, or sales made outside the approved process.
16. Creator Closing Opportunities
16.1 NyneCom LLC may onboard creators, partners, or business owners who need sales support. When available, the Contractor may be offered the opportunity to help close approved creator or partner offers. Approved creator closing sales may count toward the Contractor's monthly quota if NyneCom LLC approves the sale as quota-eligible. Compensation for creator closing opportunities may vary by offer and must be confirmed in writing before the Contractor begins selling that offer.
17. Optional Command Center Commission
17.1 The Contractor may choose to use the NyneCom Command Center for $67/month. This is optional. The Contractor is not required to buy or use the Command Center to work with NyneCom LLC, sell NyneCom offers, or earn main sales commissions.
17.2 If the Contractor chooses to use the Command Center, the Contractor may become part of the Founding Seller group. Founding Sellers may be eligible for a $50 one-time commission when a future salesperson is hired and chooses to use the NyneCom Command Center. This commission applies only when: (a) the future salesperson is hired or approved by NyneCom LLC; (b) the future salesperson chooses to use the Command Center; (c) payment is completed; and (d) the referral is properly tracked and not refunded or reversed. This $50 commission is separate from main sales compensation.
18. Referral Rotation
18.1 NyneCom LLC may place participating Founding Sellers in a rotating referral system at the hiring gate. Participation is optional and may depend on: active Command Center status, compliance with NyneCom LLC rules, proper use of approved messaging, good standing, and continued participation in the sales program. NyneCom LLC may update, pause, limit, or end the referral rotation at any time.
19. Partner and Business-Unit Upside
19.1 The Contractor may be eligible for additional upside if the Contractor introduces an approved strategic partner, creator, influencer, agency, or community owner. Any partner bonus, business-unit upside, or equity-style opportunity must be approved by NyneCom LLC in a separate written agreement. No partner bonus, business-unit upside, equity, ownership, revenue share, or profit share is guaranteed unless stated in a separate written agreement signed or approved by NyneCom LLC.
20. Playbook, Demo Asset, and Sales Council Bonuses
20.1 NyneCom LLC may offer optional bonuses for approved contributions including winning sales scripts, demo assets, follow-up sequences, niche pitch videos, Loom videos, TikTok Live sales presentations, sales processes, referral campaigns, and training materials. Any such bonus must be approved by NyneCom LLC in writing. These bonuses are optional and not guaranteed.
21. Payment Timing
21.1 Unless otherwise stated in writing, approved commissions are payable after the sale is confirmed, payment is received, and any required refund or chargeback review period has passed. NyneCom LLC may delay or reverse payment if a sale is refunded, charged back, canceled, disputed, fraudulent, or not properly tracked.
22. Independent Contractor Status
22.1 The Contractor is an independent contractor and is not an employee of NyneCom LLC. Nothing in this compensation section creates an employment relationship, guaranteed salary, guaranteed hours, ownership interest, partnership, joint venture, or automatic promotion. The Contractor is responsible for their own taxes, expenses, equipment, and legal obligations unless otherwise agreed in writing.
23. No Guarantee of Earnings
23.1 NyneCom LLC does not guarantee earnings, sales volume, commissions, promotions, equity, ownership, or continued opportunities. All compensation is based on performance, approved sales, proper tracking, client payment, and NyneCom LLC approval.
