Parties: NyneCom LLC, a Virginia limited liability company ("Company"), and You ("Creator" or "Affiliate").
BY CLICKING THE ACCEPTANCE CHECKBOX, YOU ACKNOWLEDGE YOU HAVE HAD A FULL OPPORTUNITY TO READ THIS AGREEMENT, UNDERSTAND ITS TERMS, AND AGREE TO BE LEGALLY BOUND. YOUR FAILURE TO READ THIS AGREEMENT DOES NOT LIMIT YOUR OBLIGATIONS. CLICKING CONSTITUTES YOUR ELECTRONIC SIGNATURE.
1. Nature of the Relationship
1.1 Independent Contractor. You are an independent contractor. Nothing herein creates an employment, partnership, joint venture, agency, franchise, or fiduciary relationship with NyneCom LLC or its principal, Reginald Pinkston. You have no authority to bind NyneCom LLC.
1.2 No Exclusivity. NyneCom LLC may enter into similar agreements with any number of other parties at any time without notice or obligation to You.
1.3 No Vested Rights. Participation confers no vested, accrued, property, equitable, or legal right to continued participation, access, future commissions, or any benefit beyond commissions earned on validated transactions closed prior to termination. No course of dealing, length of participation, or sales volume creates any right to continued participation.
2. Program Participation
2.1 Submission of an application does not guarantee acceptance. NyneCom LLC has sole and absolute right to approve or deny any application for any reason, without explanation or liability.
2.2 Acceptance is conditional and revocable at all times. NyneCom LLC reserves the right to modify, suspend, or discontinue the Program at any time without notice or liability.
3. Commissions
3.1 Commission rates may be changed at any time upon notice. Continued participation constitutes acceptance of modified terms.
3.2 Commissions are earned only upon validated, completed, non-reversed transactions. NyneCom LLC's determination of qualification is final and binding.
3.3 Forfeiture Upon Termination for Cause. All unpaid and pending commissions are immediately forfeited upon termination for cause.
3.4 NyneCom LLC makes no representation regarding potential income. No guaranteed earnings.
4. At-Will Termination — Absolute Right
4.1 NyneCom LLC's Absolute Right. NyneCom LLC and its principal Reginald Pinkston reserve the absolute, unconditional, and irrevocable right to terminate Your participation at any time, for any reason or no reason, with or without notice, with or without cause, and with or without explanation. This right is not subject to review, challenge, or appeal in any forum.
4.2 Grounds for Immediate Termination Include: (a) misrepresentation of affiliation; (b) disparagement of NyneCom LLC or Reginald Pinkston; (c) spam or deceptive advertising; (d) conduct harmful to NyneCom LLC's reputation; (e) failure to disclose affiliate relationship per FTC guidelines; (f) violation of any applicable law; (g) manipulation of tracking or referral attribution.
4.3 Upon any termination: Your Affiliate Link is deactivated; portal access is revoked; You must cease all promotion immediately; commissions on pre-termination validated transactions are payable only on termination without cause.
5. Promotional Conduct and FTC Compliance
5.1 You are solely responsible for FTC-compliant disclosure of Your affiliate relationship in all content (16 C.F.R. Part 255). Failure is a material breach.
5.2 Prohibited: false claims, brand keyword bidding without approval, cookie stuffing, impersonation of NyneCom LLC, income guarantees.
6. Intellectual Property
6.1 You receive a limited, revocable, non-exclusive license to use NyneCom LLC's marks solely for Program promotion. This license terminates immediately upon termination. You acquire no ownership interest. All goodwill inures to NyneCom LLC.
7. Indemnification
7.1 You shall indemnify, defend, and hold harmless NyneCom LLC, Reginald Pinkston, its members, managers, officers, employees, agents, successors, and assigns from all claims, actions, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees, court costs, and expert witness fees — arising from Your participation in the Program, Your promotional activities or content, Your breach of this Agreement, Your violation of any law or third-party right, any third-party claim arising from Your actions, or any dispute between You and a referred customer. This obligation survives termination indefinitely.
8. Attorney's Fees — Fee Shifting
8.1 Prevailing Party. In any legal action to enforce this Agreement or defend against claims You bring, the non-prevailing party shall pay all costs and expenses of the prevailing party including reasonable attorneys' fees at actual billing rates, court costs, filing fees, expert witness fees, investigation costs, discovery costs, appellate costs, and judgment enforcement costs.
8.2 Affirmative Recovery. If You initiate legal action against NyneCom LLC or Reginald Pinkston and do not prevail on the central claims advanced, You shall be liable for all legal costs and attorneys' fees incurred by NyneCom LLC and Reginald Pinkston, including all appeals. You understand this is a material term and condition of participation.
8.3 No Frivolous Claims. If any court or arbitrator finds a claim You brought was frivolous, You bear full responsibility for all fees, costs, and expenses arising from that proceeding.
9. Limitation of Liability
9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYNECOM LLC AND REGINALD PINKSTON SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND. TOTAL LIABILITY SHALL NOT EXCEED COMMISSIONS ACTUALLY PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
10. Dispute Resolution
10.1 Governing Law: Commonwealth of Virginia. Mandatory Arbitration: All disputes resolved by binding arbitration under AAA Commercial Arbitration Rules, Virginia Beach, Virginia. Decision is final. YOU WAIVE YOUR RIGHT TO A JURY TRIAL. Class Action Waiver: All claims must be brought individually. No class actions or representative proceedings.
11. Miscellaneous
11.1 NyneCom LLC may modify this Agreement at any time. Continued participation constitutes acceptance. This is the entire agreement between the parties. If any provision is unenforceable, remaining provisions stay in effect. You may not assign this Agreement. NyneCom LLC may assign freely. Notices sent to Your application email are deemed received.
