Service Agreement

1. Scope of Services

Provider agrees to deliver the following:

• Design and setup of a conversational AI-powered landing page
• Integration of booking/chatbot functionality
• Access to Uphex-powered ad platform (pre-built Facebook/Instagram ads)
• Inclusion in a searchable SMS/web-based local deals directory
• Bonus placement on a shared 9×12 high-gloss postcard mailed to 10,000 local high-income households
• Postcard space is limited to 12 total businesses, one per industry. Placement is first-come, first-served and confirmed only upon full payment.

2. Fees & Payment Terms

Client agrees to pay a one-time onboarding fee of $1,294 USD, due before service begins. This includes setup and the first month of service. Monthly ongoing service is billed at $794/month, starting 30 days after onboarding. Payments are auto-billed monthly unless canceled with 15 days’ notice.

3. Term & Cancellation

Services are month-to-month. Either party may cancel with 15 days’ notice. No refunds are provided for the onboarding fee or active billing periods.

4. Client Responsibilities

Client must provide necessary assets (logos, hours, booking links) and approve content within 5 business days.

5. Performance Disclaimer

No specific lead, sales, or traffic volume is guaranteed. Postcard distribution is guaranteed, but response rates may vary.

6. Limitation of Liability

Nynecom’s liability is limited to the fees paid in the last 60 days. No liability for indirect or consequential damages is assumed.

7. Governing Law

This Agreement shall be governed by the laws of [Your State/Country].
